USBWD license terms
1. General
- These terms govern the license for the USBWD online food ordering software (the "Software").
- The licensor is USBWD, ul. Głogowska 78, Poznań, tax ID: —, e-mail: info@usbwd.com (the "Licensor").
- The licensee is the business that ordered a license through the form on https://usbwd.com (the "Licensee"). Licenses are not offered to consumers.
2. Scope of the license
- The license is non-exclusive, non-transferable and valid for the paid subscription period.
- One license key allows running the Software on the one domain given in the order, for the number of restaurants included in the chosen plan.
- The Licensee may not resell or share the Software, pass the code to third parties or remove the license check.
- Restaurant, customer and order data belong to the Licensee and are stored on the Licensee's server. The Licensee is the controller of that personal data.
3. Trial and payments
- Every new plan starts with a free 14-day trial. Cancelling before it ends costs nothing.
- After the trial the subscription renews automatically every month or year, as chosen. Payments are processed by Stripe.
- Prices on the website are net prices unless stated otherwise. Invoices are available in the subscription portal.
- The Licensor takes no commission on the Licensee's orders.
4. Failed payments and cancellation
- If a payment fails, the Licensee gets an e-mail with a link to update the card. The Software keeps working for 10 days after the end of the paid period, with a warning in the admin panel; it is then locked until payment.
- The Licensee can cancel at any time in the subscription portal. The license stays valid until the end of the paid period.
- The Licensor may revoke the license for a serious breach of these terms.
5. Updates and support
- While the license is active the Licensee receives updates through the update panel.
- Support is given by e-mail at info@usbwd.com on working days.
- Installation, hosting, backups and the setup of mail, SMS and payments are the Licensee's responsibility unless agreed otherwise.
6. Liability
- The Software is provided as is. The Licensor works to keep it running correctly and fixes reported bugs in updates.
- The Licensor's liability is limited to the fees the Licensee paid in the last 12 months and does not cover lost profits.
7. Final provisions
- Data given in the order is processed under the privacy policy.
- The Licensor may change these terms for important reasons; changes apply from the next billing period after notice by e-mail.
- Polish law applies. Disputes are settled by the court competent for the Licensor's registered office.
